Welcome to QuickSend Invoice — a platform enabling seamless invoice generation and WhatsApp delivery.

By using QuickSend, our APIs, or any of our affiliates, you expressly agree to follow these Terms of Service (“Terms”), which form a legally binding agreement between you (“Merchant,” “you”) and QuickSend (“we,” “us,” “our”).

If you do not agree to these Terms, please do not use the Platform.

1. Eligibility

  • You must be at least 18 years old to use QuickSend.
  • You must be a legally registered business or operating as a recognized sole proprietor within your jurisdiction.
  • You must comply with all applicable local, national, and international laws.

2. Account Registration

  • You must provide accurate, complete information when creating your QuickSend account.
  • You are solely responsible for maintaining the confidentiality and security of your account credentials and API keys. All activities that occur under your account will be deemed your responsibility.
  • We reserve the right to freely suspend or terminate accounts that violate these Terms and any of our usage policies without notice.

3. Subscription & Payments

  • QuickSend operates on a paid subscription model. Fees are processed through authorized payment gateways (e.g., Stripe, M-Pesa).
  • All subscription sales are final. We do not offer refunds for partial usage or early cancellations.
  • We reserve the right to modify our pricing tiers with a 30-day notice to existing users.

4. Earnings, Taxes & e-TIMS

  • Merchants are solely responsible for their own tax liabilities resulting from invoices sent via the platform.
  • In Kenya, merchants remain responsible for KRA e-TIMS compliance. QuickSend acts strictly as a delivery infrastructure, not as an accounting or tax authority.

5. Intellectual Property

  • QuickSend retains full copyright and intellectual property rights over the platform, code, and UI.
  • Merchants retain full ownership of their business data, customer lists, and invoice contents.

6. Limitation of Liability

  • QuickSend is provided “as is” without warranties of any kind.
  • We are not responsible for damages, lost revenue, or claims arising from platform downtime, WhatsApp service disruptions, or third-party payment gateway failures.
  • Our total liability to you for any claim will not exceed the total amount you have paid to QuickSend in the past 12 months.

7. Indemnification

You agree to indemnify and hold QuickSend harmless from any claims, damages, or legal fees arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your infringement of any third-party rights or disputes with your own customers.
  • Violations of anti-spam laws resulting from your invoice deliveries.

8. Dispute Resolution

  • These Terms are governed by the laws of the Republic of Kenya.
  • Any disputes will be resolved through arbitration in Nairobi, Kenya, unless otherwise required by overriding statutory law.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes means you accept the revised Terms. We shall communicate via email when there are significant changes to this document.
